1. Agreement to Terms

By accessing or using the services provided by Ahsan Solutions ("Company," "we," "our," or "us"), including our website, EalSuite, EalSuite HRMS, EalSuite Relay, and Ahsan Studio (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

Ahsan Solutions provides business software solutions and custom development services, including:

• EalSuite: Enterprise resource planning (ERP) software for GCC businesses
• EalSuite HRMS: Human resource management system with payroll and compliance features
• EalSuite Relay: Last-mile logistics and delivery management platform
• Ahsan Studio: Custom software development and integration services

3. Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

Access to our Services may require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described in your subscription agreement
• Provide valid payment information
• Authorize us to charge your payment method for recurring fees

Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We reserve the right to modify pricing with reasonable notice.

5. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit any harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble our software
• Use our Services for any fraudulent or deceptive purposes

6. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and code, are the exclusive property of Ahsan Solutions or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for your business purposes in accordance with these Terms.

7. Data Ownership and Processing

You retain ownership of all data you input into our Services ("Customer Data"). By using our Services, you grant us a limited license to process your Customer Data solely to provide the Services to you.

We will process your data in accordance with our Privacy Policy and applicable data protection laws, including UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection.

8. Service Availability

While we strive to maintain high availability, we do not guarantee that our Services will be uninterrupted, timely, secure, or error-free. We may temporarily suspend access to our Services for maintenance, updates, or other reasons with reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, Ahsan Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or data breaches
• Business interruption
• Any damages arising from third-party actions

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ahsan Solutions and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the subscription in accordance with the terms of your subscription agreement. We may also terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. You may request a copy of your Customer Data within 30 days of termination, after which we may delete your data.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Ahsan Solutions regarding your use of our Services and supersede any prior agreements.
